Chorus Aviation has reached an agreement to acquire Kadex Aero Supply for C$50 million (approximately $36.7 million), a strategic move to diversify its aerospace and defense services. The deal, expected to close in the second quarter, is structured with an upfront payment and performance-based earn-outs.

The acquisition involves an initial cash payment of C$43 million, with the balance to be distributed over two years based on the achievement of specific performance targets. According to the company's announcement on Thursday, the integration of Kadex Aero Supply is designed to broaden the service offerings of the Halifax-based aviation holding company.

Expansion into Defense and Maintenance

Based in Peterborough, Ontario, Kadex specializes in aircraft parts distribution and maintenance services. Chorus Aviation CEO Colin Copp characterized the acquisition as a critical component of the company’s long-term strategy to scale its presence in the aerospace and defense sectors. The transaction is expected to be immediately accretive to both earnings and cash flow upon closing.

Financial data provided by the company indicates that Kadex generated approximately C$60 million in revenue in 2025. By absorbing Kadex’s established supply chain and maintenance infrastructure, Chorus aims to capture a larger portion of the specialized aviation services market starting in the second quarter.
