DigitalBridge has reached an agreement to sell Substantial Group, the parent company of U.K. wholesale fiber operator Netomnia, to Nexfibre in a deal valued at an enterprise value of £2 billion ($2.7 billion).

DigitalBridge, alongside fellow shareholders Advencap and Soho Square Capital, is divesting its stake in the infrastructure provider following a period of rapid growth. DigitalBridge initially invested in the firm in 2022 to facilitate the expansion of its fiber-to-the-premises network across the country.

Infrastructure and Market Reach

Founded in 2019, Netomnia has established itself as a significant player in the British broadband sector. The company currently provides access to more than 3 million locations and maintains a subscriber base of approximately 460,000 customers. The acquisition by Nexfibre represents a strategic consolidation of these assets into a larger wholesale platform.

The transaction highlights the ongoing maturation of the U.K. fiber market, where independent providers are increasingly targeted for acquisition by well-capitalized infrastructure giants. The deal is expected to close following standard regulatory approvals, concluding DigitalBridge's successful two-year investment cycle in the asset.
