The dispute centers on a planned acquisition where NRx subsidiary Hope Therapeutics intended to purchase Kadima, a move that would have installed Kadima founder David Feifel as chief medical innovation officer. Kadima filed suit Wednesday, alleging that NRx engaged in misrepresentation and breach of contract, specifically accusing the company of leveraging the deal to artificially inflate its share price before abandoning the commitment.

NRx countered these allegations by citing a material adverse change in Kadima’s business condition. Beyond these technical failures, NRx stated that proceeding with the acquisition no longer aligns with the interests of its shareholders or patients. The company further downplayed the potential impact of the legal proceedings, noting that the acquisition was never considered material to Hope Therapeutics’ broader business trajectory. NRx anticipates that the San Diego courts will refer the case to arbitration, expecting a resolution that carries no significant financial consequences for its investors.
