The offering, which exceeded the company's initial goal of 5 million shares, is set to begin trading on the Nasdaq Global Market under the ticker SATS. While the dividend is calculated against a stated value of $100 per share, the $90 purchase price results in an initial yield of approximately 16.67%. Strive has implemented a dividend reserve strategy, earmarking $157.5 million to cover 18 months of payments, ensuring a buffer for the cumulative obligations.
CEO Matt Cole described the issuance as a strategic milestone designed to bolster the credit profile of the company’s existing SATA preferred stock. By positioning SATS as a junior layer of capital, Strive intends to refine its "Amplification Ratio," a metric central to its strategy of leveraging Bitcoin holdings to drive returns for common shareholders. The firm retains broad flexibility on the use of proceeds, including potential Bitcoin acquisitions, working capital needs, or the repurchase of existing shares. Chief Risk Officer Jeff Walton emphasized that the company maintains a debt-free balance sheet, focusing its financial operations exclusively on sustaining dividend obligations to preferred investors.
